MyPRIMEritual CONTEST – Terms & Conditions
THESE RULES ARE THE STANDARD TERMS AND CONDITIONS APPLICABLE TO THE MyPRIMEritual CONTEST (THE “CONTEST”) ADMINISTERED BY NewAgeCell Inc., A CORPORATION REGISTERED UNDER THE LAWS OF ONTARIO, CANADA (“NewAgeCell”). THE CONTEST IS INTENDED TO BE CONDUCTED IN CANADA ONLY AND SHALL BE CONSTRUED AND EVALUATED ACCORDING TO APPLICABLE CANADIAN LAW. NO PURCHASE IS NECESSARY. PARTICIPATION IS VOID IN WHOLE OR IN PART WHERE PROHIBITED BY LAW. ENTRY IN THE CONTEST CONSTITUTES ACCEPTANCE OF THESE CONTEST RULES (THE “CONTEST RULES”).
BY ENTERING THIS CONTEST/ CONTEST PARTICIPANTS AGREE TO BE LEGALLY BOUND BY THESE RULES:

ELIGIBILITY.
- be a legal resident of, and the age of majority in, their applicable Canadian Province (excluding Quebec);
- if applicable, be the sole owner of all right, title and interest (including copyright) in and to the Entrant’s contest submission (the “Submission”) submitted in connection with the Contest.
- Eligibility. To be eligible to enter the Contest, an individual (each an “Entrant”) must:
- Proof of Eligibility. NewAgeCell shall have the right at any time to require proof of identity and/or eligibility to participate in the Contest. Failure to provide such proof may result in disqualification.
- Accuracy of Information. All personal and other information requested by NewAgeCell for the purpose of the Contest must be truthful, complete, accurate and in no way misleading. NewAgeCell reserves the right, in their sole discretion, to disqualify any entrant should such an entrant at any stage supply untruthful, incomplete, inaccurate or misleading personal details and/or information.
- CONTEST PERIOD.
- Contest Period. The Contest shall be open for participation from July 1 to 11:59pm on September 30, 2026 (the “Contest Period”) after which time the Contest will be closed and no further entries shall be accepted.
- ENTERING THE CONTEST.
- No Purchase Necessary. There is no purchase necessary to enter the Contest.
To enter, each Entrant must:
• Complete and submit the entry form at https://newagecell.com/pages/contest and
• Post original content on Instagram and/or TikTok, including the hashtag #MyPRIMERitual and tagging @newagecell. - Limit. There is no limit on the number of Entries that may be submitted by an Entrant.
- Late Entries. Entries must be received prior to the indicated Contest Period entry deadline. Entries will be declared invalid if they are late, illegible, incomplete, damaged, irregular, mutilated, forged, garbled or mechanically or electronically reproduced.
- Communications. No communication or correspondence will be exchanged with Entrants except with those selected as a potential Contest winner.
- Submitting Party. Entries shall be deemed to be submitted by the authorized account holder of the e-mail address associated with the Entry, as applicable. For the purposes of these Contest Rules, “authorized account holder” of an e-mail address is defined as the natural person who is assigned to an e-mail address by an internet access provider, on-line service provider or other organization responsible for assigning e-mail addresses for the domain or account associated with the submitted e-mail address. Each selected Entrant may be required to provide NewAgeCell with proof that the selected Entrant is the authorized account holder of the e-mail address, Facebook or Instagram account associated with the winning entry.
- Conduct of the Entrant. Each Entrant understands and agrees that NewAgeCell or its Affiliates have the right, in their sole discretion, to disqualify and remove the Entrant (or winner) from any activity (inclusive of the Contest) at any time if the Entrant’s behavior at any point is uncooperative, disruptive, or may or does cause damage to person, property, or the reputation of NewAgeCell or the Affiliate, including, without limitation, the shopping premises of the Affiliate, or otherwise violates the policies of NewAgeCell or the Affiliate.
- Winners will be notified via direct message (DM) on the platform used to enter within 2 weeks from the selection. Winners must respond within 72 hours of notification. Failure to respond will result in disqualification and selection of an alternate winner.

WINNER SELECTION.
- correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question to be administered during a pre-arranged telephone call or by e-mail;
- comply with these Contest Rules; and
- sign and return the Release, as defined below.
- Selection. Entries will be evaluated based on the following criteria: creativity 40%, visual appeal 30%, product integration 20% and storytelling 10%.
Following the conclusion of the Contest Period, NewAgeCell will select three (3) entrants for the Prize (the “Winner”) based on judging criteria from all eligible entries received during the Contest Period, unless otherwise indicated. Winners will be selected based on judging criteria - One Prize Per Entrant. Each Entrant shall be eligible to win only one (1) prize.
- Odds. The odds of being selected as a potential Winner are dependent upon the number of eligible Entries received for the Contest.
- Skill Testing Question. Before being declared a winner of each Prize, the selected Entrant shall be required to:
- Failure to Respond. If the selected Entrant does not respond within the prescribed timeline set out in the notification, or fails to successfully comply with section 4.4 above. they will be disqualified and will not receive a Prize, and another Entrant may be selected, as determined by NewAgeCell in its sole discretion, until such time as an Entrant satisfies the terms set out herein. NewAgeCell is not responsible for the failure for any reason whatsoever of a selected Entrant to receive notification at the contact information submitted with their entry or for NewAgeCell to receive a selected Entrant’s response through the prescribed communication channel.
- NewAgeCell reserves the right to remove or reject any entry that is inconsistent with its brand values.

PRIZES.
- NewAgeCell shall be solely responsible for the costs of the Prize and the Winner acknowledges and agrees that all other costs undertaken during all associated travel and delivery of the Prize shall be borne by the Winner;
- the Winner’s use and availability of the Prize shall at all times be subject to the supplier/provider’s terms and conditions and NewAgeCell makes no representation of any availability of any specific destination or timing of any travel associated with the use of the Prize;
- the parties agree that the supplier/provider and associated hotel, airline, spa resort or other service provider with whom the Winner books such service/travel shall be solely responsible for all such services and NewAgeCell accepts no liability for any provision of any associated service, accommodation, or product provided to the Winner in connection with the use of the Prize;
- the Winner acknowledges that they shall be solely responsible for complying with all relevant rules or policies of any supplier/provider like airline carrier, hotel, spa resort or the travel provider, and that any breach of any such policy or rule may result in the immediate expulsion of such person from such service and use of the Prize;
- each Entrant represents to NewAgeCell that the Winner, shall:
- have a valid identity documents/legal residency documents;
- be medically fit to travel and there is no medical limitations or inadequacies to use different spa facilities or services ; and
- have in place reasonable travel and medical insurance prior to departing any trip using the Prize, if the case.
- Prizes. The Contest prizes (the “Prizes”) shall have an approximate retail value of Two-Thousand Canadian dollars ($2,000.00), One-Thousand Canadian dollars ($1,000.00), Five-Hundred Canadian dollars ($500.00) and shall be announced and described through NewAgeCell’s ecommerce website and social media accounts. Winners shall not be entitled to receive the difference between the actual prize value and the approximate prize value of each Prize.
The Grand Prize shall comprise one (1) prize of $2,000 (luxury spa experience, 1- year supply NewAgeCell products, a $200 Sephora or wellness gift card, a Prime Ritual kit including robe, candles, journal and supplements).
The Second Prize shall comprise one (1) prize of $1,000 (Dyson Cool Fan or premium wellness bundle, 1/2- year supply NewAgeCell products, a curated self-care kit).
The Third Prize shall comprise one (1) prize of $500 (ritual essential bundle, 1/4- year supply NewAgeCell products).
All suppliers will be selected at NewAgeCell’s sole reasonable discretion. - No Transfer of Prizes. The Prize must be accepted as awarded and cannot be transferred, assigned, substituted or redeemed for cash, except at the sole discretion of NewAgeCell. Any unused portion of a Prize will be forfeited and have no cash value.
- Substitution. NewAgeCell reserves the right, in their sole discretion, to substitute a prize of equal or greater value if the Prize (or any portion thereof) cannot be awarded for any reason.
- Additional Expenses. Winners will be solely responsible for any expense not explicitly included in the Prize.
- No Liability. NewAgeCell shall not assume any liability for any lost or misdirected prize, including, without limitation, where such Winner provides inaccurate or incomplete shipping or contact information to NewAgeCell.
- Terms of Prize. The following terms and conditions shall apply to the Prize:

LIMITATION OF LIABILITY AND RELEASE.
- for lost, late, unintelligible/illegible, falsified, damaged, misdirected or incomplete Entries, notifications, responses, replies, or for any computer, online, software, telephone, hardware or technical malfunctions that may occur, including but not limited to malfunctions that may affect the transmission or non-transmission of an Entry;
- for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the administration of the Contest;
- for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries; and
- in the event that the Contest cannot be conducted as planned for any reason, including those reasons beyond the control of NewAgeCell, such as infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or corruption of the administration, security, fairness, integrity or proper conduct of the Contest, the Contest website, or any applicable Affiliate.
- Limitation of Liability. NewAgeCell and its Affiliates assume no responsibility or liability:
- Release. Prior declaring the potential Winner(s) they shall be required to execute a legal agreement and release (“Release”) that confirms their: (i) eligibility for the Contest and compliance with these Contest Rules; (ii) acceptance of the Prize as offered; (iii) release of NewAgeCell and its Affiliates, employees, directors, officers, suppliers, agents, administrators, licensees, representatives, advertising, media buying and promotional agencies (collectively, the “Releasees”) from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Contest, use of the Prize, participation in any Contest-related activity or the acceptance, use, or misuse of any Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising there from.
- Execution of Release. The executed Release(s) must be returned within five (5) business days of the date indicated on the accompanying letter of notification or verification as a Winner, or the selected Entrant will be disqualified and any rights he or she may have to the Prize will be forfeited.
- INDEMNIFICATION BY ENTRANT.
- Indemnity. By entering the Contest, each Entrant agrees to indemnify and hold the Releasees, as defined above, harmless from any and all liability for any injuries, loss or damage of any kind to the Entrant or any other person, including personal injury, death, or property damage, resulting in whole or in part, directly or indirectly, from: (a) their participation in the Contest, use of the Prize or any related activity; (b) the acceptance, use, or misuse of any Prize; or (c) any breach of the Contest Rules. Each Entrant agrees to fully indemnify Releasees from any and all claims by third parties relating to the Entrant’s participation in the Contest, without limitation.
- CONDUCT.
- Agreement to be Bound. By participating in a Contest, each Entrant agrees to be bound by the Contest Rules. Entrants further agree to be bound by the decisions of NewAgeCell, which shall be final and binding in all respects.
- Right to Disqualify. NewAgeCell reserves the right, in its sole discretion, to disqualify any Entrant found to be: (a) violating the Contest Rules; (b) tampering or attempting to tamper with any the entry process or the operation of the Contest, the Contest website, or any related promotional website; (c) violating the terms of service, conditions of use and/or general rules or guidelines of any NewAgeCell’s property or service; and/or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

PRIVACY / USE OF PERSONAL INFORMATION.
- grants to NewAgeCell the right to use their personal information provided when he/she enters the Contest (collectively the “Personal Information”) for the purpose of administering the Contest, including but not limited to contacting and announcing the Winner(s) and coordinating the provision of the Prizes;
- grants to NewAgeCell the right to use their Personal Information for publicity and promotional purposes relating to the Contest in any and all media without further compensation unless prohibited by law;
- by entering the Contest, the Entrant agrees to receive from NewAgeCell, via email, publications, promotions, discounts, updates, invitations to events and marketing material relating to NewAgeCell’s business, provided that you will be entitled at any time to opt-out of such mailings; and
- acknowledges that NewAgeCell may disclose their Personal Information to third-party agents and service providers of NewAgeCell in connection with any of the activities listed in (i) and/or (ii) above.
- the Entrant’s name, email address and limited commercial information pertaining certain NewAgeCell products purchased by the Entrant;
- the administration of the Contest, including corresponding with winning Entrants;
- sending the Entrant marketing promotions, offers and correspondence in accordance with section 9.1(c) above;
- complying with all relevant laws or regulations;
- tracking Contest engagement and performance; and
- if applicable, to enforce any legal right of NewAgeCell.
- Personal Information. By participating in the Contest, each Entrant:
- Types of Personal Information Collected. In connection with the Contest, NewAgeCell shall be collecting the following personal information relating to the Entrant (“Personal Information”):
- Use of Personal Information. NewAgeCell shall be using the Personal Information for following purposes:
- Storage of Personal Information. All Personal Information collected shall be stored using the HulkForm Builder application and Google cloud storage and shall only be retained by NewAgeCell for such time as is reasonably required for the purpose collected. NewAgeCell shall use appropriate methods to preserve the confidentiality of all Personal Information collected. Personal information may be transferred to other countries outside of Canada, including the United States of America. The Entrant may exercise its rights of rectification, access or erasure by contacting NewAgeCell at info@newagecell.com
- Privacy Policy. NewAgeCell will use the Entrant’s Personal Information only for identified purposes and protect the Entrant’s Personal Information in a manner that is consistent with NewAgeCell’s Privacy Policy.
- INTELLECTUAL PROPERTY.
- NewAgeCell Intellectual Property. All intellectual property, including but not limited to trade-marks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations used in conjunction with the Contest are owned by NewAgeCell and/or its affiliates. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.
- License of Intellectual Property. Winners agree to the use of their name, likeness, and submitted content. By providing the Submission, if applicable, to NewAgeCell in connection with the Contest, each Entrant shall grant to NewAgeCell a worldwide, gratuitous, irrevocable, fully-paid up, royalty-free and exclusive license to copy, use, modify, reproduce, display, adapt and transmit all intellectual property rights, including the Entrant’s likeness, in the Submission for use in all media now known or hereafter devised in perpetuity beginning on the date of entry, including, but not limited to, in connection with the administration, promotion and exploitation of the Contest and NewAgeCell’s products, including without limitation, posting the Submission on NewAgeCell owned or controlled websites, viewing galleries and/or social media platforms.
The Entrant hereby confirms that the Submission is an original work, solely created by the Entrant, and that no third party participated as an author, co-author, photographer or otherwise in the creation of the Submission or any part thereof. NewAgeCell assumes no responsibility for any claims of infringement of rights to copyright, privacy and/or personality, and all such liability shall remain with the Entrant. In addition, each Entrant represents to NewAgeCell that the Submission does not infringe any copyright interest of any third party and that the Submission is not defamatory or obscene and does not violate any laws relating to hate speech or otherwise. - TERMINATION.
- Termination of Contest. NewAgeCell reserves the right, in their sole discretion, to terminate the Contest, in whole or in part, and/or modify, amend or suspend the Contest, and/or the Contest Rules in any way, at any time, for any reason without prior notice subject to applicable law and without materially affecting the fairness or integrity of the Contest . Any such change to the Contest rules shall be effective as of the date of its posting.
- Force Majeure . NewAgeCell shall not be liable for failure to perform due to events beyond its reasonable control, including but not limited to supply chain disruptions, product shortages, travel restrictions, or other unforeseen circumstances.
- GENERAL PROVISIONS.
- Governing Law. The Contest are subject to applicable federal, provincial and municipal laws and regulations. These Contest Rules are subject to change without notice in order to comply with any applicable federal, provincial and municipal laws or the policy of any other entity having jurisdiction over the Contest. All issues and questions concerning the construction, validity, interpretation and enforceability of the Contest Rules or the rights and obligations as between the Entrant and NewAgeCell in connection with the Contest shall be governed by and construed in accordance with the laws of the province of Ontario without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws.
- Severability. In the event that any portion of these Contest Rules are held to be unenforceable, the unenforceable portion shall be construed in accordance with applicable law as nearly as possible to reflect its original intentions and the remainder of the provisions shall remain in full force and effect.
- Minimum Statutory Standards. In the event that these Contest Rules provide a lesser benefit than any applicable minimum standard contained in any governing legislation, such minimum standard shall prevail to the extent of the inconsistency.
- Social Media. This Contest is in no way sponsored, endorsed or administered by any social media platforms on which the Contest may have been promoted and/or publicized. Any questions or comments regarding the Contest must be directed to NewAgeCell and not to any of the social media platforms on which the Contest may have been advertised.
- Survival. The provisions of Sections 6 (Limitation of Liability and Release), 7 (Indemnification by Entrant) and 10 (Intellectual Property) shall survive the termination of the Contest, or any Entrant’s participation therein, for any reason.
- Discrepancy. These are the official Contest Rules. In the event of any discrepancy or inconsistency between the terms and conditions of the Contest Rules and disclosures or other statements contained in any Contest-related materials, including but not limited to the Contest landing page, entry form, NewAgeCell point of sale, or social media or online advertising, the terms and conditions of these Contest Rules shall prevail, govern and control.
